Corporate governance is the basis of how companies create and implement their policies. In the current era of evolving demands and expectations, effective governance is more important than ever.

Effective corporate governance requires a thorough understanding of the company’s values, culture and mission. It is also essential to have systems in place which allow companies to recognize and reduce risk before they happen. This includes establishing an ethical code, effective reporting channels, and regulating conflicts of interest.

The board must encourage transparency, accountability and transparency to all stakeholders including external and internal stakeholders. The board’s responsibility is to ensure that the company’s resources are used in a way that create long-term value for shareholders. This is accomplished through an assessment of risks in the business, implementation of risk management strategies and evaluating performance against goals.

Boards should think about the appointment of an independent director to lead the board (also known as the presiding Director) to ensure that they run their boards on their own. This is particularly important when a company has the dual position of chair and CEO position. Boards should include non-management employees in the evaluations of CEOs, if necessary and also evaluate the overall performance of senior management.

The board should be able to regularly communicate with shareholders and other stakeholders on issues that affect the long-term value of the company even if they’re not necessarily in the position to directly influence corporate decisionmaking or strategy. It should encourage shareholders who wish to influence corporate decisions to publicly disclose their ownership and identity when federal securities laws allow it.
